Terms & Agreements

1. General

1.1 These Terms and Conditions (“Terms”) govern the provision of all communications services and related products (“Services”) offered by Geo Teleco LLC, a Florida limited liability company with its principal place of business at 7901 4th St. N, STE. 300, St. Petersburg, FL 33702, USA (“Geo Teleco,” “we,” “us,” or “our”).
1.2 By purchasing, registering for, or using any Services, the customer (“Customer,” “you,” or “your”) agrees to be bound by these Terms, the Service Appendix, and the Privacy Notice, all of which collectively constitute the Agreement between Geo Teleco LLC and the Customer.
1.3 These Terms supersede any prior agreements or understandings relating to the Services.

2. Scope of Services

2.1 Geo Teleco provides telecommunications services including, but not limited to: global voice origination, voice termination, SIP trunking, SMS messaging, and programmable telecom APIs (collectively “Services”).
2.2 Service details, specifications, and limitations are described in the applicable Geo Teleco Service Appendix, available upon request or through the Geo Teleco API platform.
2.3 Geo Teleco reserves the right to modify, suspend, or discontinue any Service at any time, with reasonable notice where practicable.

3. Account Registration and Use

3.1 Customers must create and maintain an account on the Geo Teleco portal or API interface to access Services.
3.2 The Customer is responsible for maintaining the confidentiality of login credentials and all activity under its account.
3.3 The Customer shall not use the Services for any unlawful, fraudulent, or abusive purpose, including unsolicited communications, spoofing, or violation of applicable U.S. or international telecommunications laws.

4. Fees, Billing, and Payment

4.1 Charges for Services shall be based on Geo Teleco’s current rate schedule, unless otherwise agreed in writing.
4.2 Invoices are payable in U.S. dollars, in advance or per billing cycle as defined in the Customer’s account settings.
4.3 Payments must be remitted to the designated Geo Teleco billing account. Late payments may incur suspension or interest as permitted by law.

5. Service Levels and Availability

5.1 Geo Teleco shall use commercially reasonable efforts to maintain high service availability and call quality.
5.2 Service interruptions caused by network outages, third-party carriers, or events beyond Geo Teleco’s reasonable control shall not constitute a breach of contract.
5.3 Any service-level guarantees or credits will be defined in the applicable Service Appendix.

6. Customer Responsibilities

6.1 The Customer shall ensure that all traffic sent via Geo Teleco complies with local, state, federal, and international telecommunications laws and regulations.
6.2 The Customer is solely responsible for the content of all communications transmitted through the Services.
6.3 The Customer must implement reasonable safeguards to prevent fraud, unauthorized access, or misuse.

7. Intellectual Property

7.1 All intellectual-property rights in Geo Teleco’s platforms, APIs, software, and documentation remain the sole property of Geo Teleco LLC.
7.2 Customer is granted a non-exclusive, non-transferable, limited license to use the Geo Teleco API and portal for the term of this Agreement.

8. Data Protection and Privacy

8.1 Geo Teleco will process personal data in accordance with its Privacy Notice, available at the Geo Teleco website or upon request.
8.2 The Customer is responsible for ensuring compliance with applicable data-protection laws in its own use of the Services.

9. Confidentiality

9.1 Both parties agree to keep confidential all non-public information received in connection with this Agreement.
9.2 This obligation survives termination of the Agreement for a period of three (3) years.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, Geo Teleco shall not be liable for indirect, incidental, consequential, or punitive damages arising out of the use or inability to use the Services.
10.2 Geo Teleco’s total liability to Customer for any claim shall not exceed the total amount paid by Customer for the Services during the three (3) months preceding the claim.

11. Indemnification

The Customer agrees to indemnify and hold harmless Geo Teleco LLC, its affiliates, officers, and employees from any loss, liability, or claim arising out of the Customer’s use of the Services or breach of this Agreement.

12. Suspension and Termination

12.1 Geo Teleco may suspend or terminate Services for non-payment, violation of law, or breach of these Terms.
12.2 Either party may terminate this Agreement with thirty (30) days’ written notice, unless otherwise specified in a separate contract.
12.3 Upon termination, all outstanding charges become immediately due.

13. Compliance with Laws

Customer shall comply with all applicable laws, including U.S. FCC regulations, state public-utilities codes, and international telecommunications standards.

14. Force Majeure

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, network outages, governmental actions, or labor disputes.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to conflict-of-law principles.
Any disputes shall be submitted to the competent courts located in Pinellas County, Florida.

17. Amendments

Geo Teleco reserves the right to amend these Terms at any time. Updates will be posted on the Geo Teleco website, and continued use of the Services constitutes acceptance of the revised Terms.

18. Entire Agreement

These Terms, together with the Service Appendix and Privacy Notice, constitute the entire agreement between Geo Teleco LLC and the Customer and supersede all prior understandings or representations.
